TOKYO, JAPAN — Japanese corporate data company uSonar has completed its purchase of a 70% stake in Empire State, a Yokohama-based sales outsourcing and business process outsourcing (BPO) provider, making it a consolidated subsidiary.

The deal took effect on Oct. 1 and gives uSonar an entry into outsourced sales work built on its corporate database.

A move into data-led BPO

uSonar said the acquisition will let it enter a new business area, “BPO business utilizing corporate data (sales outsourcing, telemarketing, etc.),” by combining Empire State’s sales know-how with its own database and products, according to a uSonar filing.

The company valued the share purchase at about ¥175 million ($1.2 million) when it announced the deal on Sept. 15.

Empire State provides end-to-end sales support centered on sales outsourcing and BPO for corporate clients, including sales strategy planning, inside sales, field sales and sales organization development.

Empire State has supported clients ranging from startups to large enterprises, and it has more recently expanded into recruitment support and generative AI-driven efficiency and digital transformation work.

A young, growing target

Empire State was founded in September 2023 and reported sales of ¥279 million ($1.9 million) for the year ended June 2026, up from ¥94 million a year earlier.

Its operating profit was ¥10 million ($68,000), down from ¥20 million, and its total assets reached ¥115 million ($780,000).

The company is led by president and representative director Koyo Itakura.

After the deal, Itakura holds 20% and Kota Maeda 10%, according to the completion filing.

uSonar, listed on the Tokyo Stock Exchange Growth Market, said it will move to consolidated reporting from its full-year results, with an immaterial impact on its 2026 earnings.

The company said the deal fits its plan to expand its database assets, its database-equipped products and adjacent businesses that use its data.

For buyers, the deal is part of a wider move in Japan to pair sales outsourcing with proprietary data, so outbound teams work from richer target lists rather than cold calls alone.
