MICHIGAN and TEXAS, UNITED STATES — Staffing services provider, Kelly Services, has come under the control of Hunt Companies following a swift transaction and the subsequent dissolution of its rights plan, triggering an immediate and sweeping overhaul of its board of directors. 

The changes, effective January 30, 2026, follow Hunt’s acquisition of a 92.2% controlling stake in Kelly’s Class B Common Stock from the founding Terence Adderley Revocable Trust K.

Kelly Services dissolves shareholder rights plan to facilitate deal

The amendment and expiration of Kelly’s shareholder rights plan were a direct strategic concession to facilitate Hunt Companies’ acquisition of controlling shares from the Adderley family trust. 

The plan, originally adopted to give Kelly’s board time to evaluate Hunt’s initial purchase agreement, was unanimously amended to specifically exempt Hunt’s purchase from triggering the plan’s dilutive defenses before the plan expired immediately before the transfer. This legal maneuver allowed the transaction to proceed unimpeded by the corporate defense mechanism.

This sequence reveals a rights plan used not as a permanent barrier but as a temporary tool for orderly negotiation. The board’s stated intent was to secure sufficient time to evaluate the terms of the share purchase agreement dated January 9, 2026, and consider the interests of unaffiliated stockholders. 

The resulting Letter Agreement with Hunt transformed the plan from a shield into a facilitated pathway, ensuring the controlling block transfer could close on the scheduled date without legal complications.

Hunt appoints new chairman and majority board members

With the completion of the share transfer, operational control of Kelly Services has decisively shifted to Hunt, exemplified by an immediate and comprehensive change in board composition. 

Hunt designees now constitute the majority of the board, installing four of its representatives, Chris Hunt, Angela Brock-Kyle, Edward Escudero, and James Hunt, alongside Kelly’s CEO, Chris Layden, and three holdover directors (Robert Cubbin, Amala Duggirala, and Leslie Murphy). 

Chris Hunt has been appointed as the new chairman, while former CEO Peter Quigley has resigned from the board.

“We look forward to supporting Chris Layden, chief executive officer of Kelly, and the rest of the Company’s management team as they focus on accelerating growth and realizing Kelly’s full potential,” said James Christopher Hunt, CEO of Hunt.

The reorganization was to continue at least until Kelly’s Annual Meeting of Stockholders in 2026, to provide Hunt with solid operational authority in the near term. 

The newly configured board, dominated by Hunt appointees, positions the investment firm to directly steer the future strategy of the staffing and talent solutions provider, which ranked as the fifth-largest staffing firm in the United States and generated $4.3 billion in revenue in 2024.
