Conduent sells public transit unit to Modaxo for $164Mn

NEW JERSEY, UNITED STATES — Conduent agreed to sell its Public Transit operating unit to Modaxo for $164 million on May 21, exiting a business spanning transit fare management and fleet management solutions as the business services firm continues to narrow its portfolio.
The transaction covers fare collection systems, fleet management platforms, payment and revenue management technology, and hardware-enabled mobility systems with global operations. The deal is expected to close before the end of 2026, subject to customary conditions and regulatory approvals.
Transit sale advances Conduent’s portfolio simplification plan
The divestiture follows a restructuring program Conduent outlined in its Q1 2026 earnings, where management committed to shedding non-core assets to concentrate resources on its highest-margin service lines.
The sale removes a hardware-intensive, infrastructure-dependent business from a portfolio that leadership has consistently described as requiring simplification to compete more effectively in the technology-driven BPO market.
“This transaction advances our strategy to simplify the portfolio, sharpen focus on our core businesses, and strengthen our financial foundation,” said Harsha V. Agadi, president and chief executive officer of Conduent.
The exit leaves Conduent’s Transportation segment anchored entirely by its Tolling business, which processes more than 14 million transactions daily and generates recurring revenue tied to long-term government contracts.

Modaxo, a global technology organization focused on people transportation, adds the Public Transit portfolio to an existing stable of transit technology assets, gaining specialized capabilities in fare collection, fleet operations, and payment management across transit agencies worldwide.
The Public Transit business served a distinct buyer market — municipal and regional transit operators — that differs structurally from Conduent’s core commercial and government BPO clients.
“Modaxo’s technology focus makes it a strong strategic fit for the Public Transit business and those it serves,” Agadi said.
The separation preserves continuity for transit clients while freeing Conduent’s capital allocation toward businesses with faster growth profiles and higher technology intensity.
The sale fits a broader pattern of established BPO and business services firms divesting infrastructure-heavy verticals as investors demand software-defined, scalable growth. Conduent sold its BenefitWallet health savings account business in 2022 and has reduced portfolio complexity through a series of targeted divestitures since.
The public transit technology market has attracted strategic consolidators in recent years, with Modaxo — which has assembled a portfolio of transit technology firms across multiple continents — among the most active acquirers in the sector, pursuing a roll-up strategy across fare management, scheduling, and fleet technology platforms globally.
