Atos SE completes $245Mn rights issue

PARIS, FRANCE — Atos SE has announced the completion and delivery of its €233 million (US$245 million) rights issue, resulting in the issuance of 63,062,910,207 new shares, traded under ISIN code FR0000051732 on Euronext Paris.
The rights issue, initially unveiled on December 2, 2024, saw shares priced at €0.0037 (US$0.0039) each, inclusive of a €0.0036 (US$0.0038) issue premium.
Philippe Salle, Chairman of the Board and future CEO, subscribed to over 2.4 billion new shares, contributing €9 million (US$9.5 million) to the total. The rights issue also included significant subscriptions from bondholders and creditors, with around €164.9 million (US$173.4 million) raised from backstop commitments.
Impact on shareholder structure and market dynamics
The completion of this rights issue has substantially increased Atos’ share capital to €6,317,504.70 (US$6.6 million), comprising over 63 billion shares. This massive issuance is expected to lead to a dilution of existing shareholders’ stakes, with creditors set to own approximately 90.8% of the company following additional capital increases and debt equitization processes.
The influx of new shares could potentially depress the market price due to anticipated sales by creditors who are not in favor of the ongoing financial restructuring under the Accelerated Safeguard Plan.

Investors and stakeholders are advised to consult the rights issue prospectus, approved by the AMF under number 24-474 on November 7, 2024. This document and its supplements detail the rights issue’s terms, risk factors, and regulatory compliance measures.
