HCLTech signs 7-year AI deal, buys Guardian GCC

UTTAR PRADESH, INDIA — HCLTech has agreed to acquire Guardian India for $10.5 million and signed a seven-year strategic agreement with Guardian Life Insurance Company of America, absorbing approximately 2,000 employees into a new dedicated business unit.

According to a report from Tech Circle, the transaction pairs a pre-built insurance technology GCC workforce with HCLTech’s AI Force platform to accelerate IT-enabled delivery across Guardian’s insurance, retirement, wealth management, and employee benefits operations.

Guardian GCC brings 2,000 insurance technology specialists

The transaction, expected to close August 1, 2026, creates a HCLTech Strategic Business Unit focused exclusively on Guardian’s insurance, retirement, wealth management, and employee benefits operations — with Karunakaran Azhisur, Guardian India’s country head, leading the new unit and the absorbed specialist workforce eliminating the execution risk of organic hiring in insurance technology.

Guardian India, incorporated in 2002, generated revenue of approximately ₹578.8 crore (roughly US$68 million) in fiscal 2026, growing from ₹483.2 crore the prior year — a dedicated offshore captive built over 24 years that HCLTech acquires as a turnkey back-office operations center for insurance processes at scale.

“This partnership is an important step in advancing our operating model and scaling AI across our enterprise,” said Steve Rullo, Chief Digital and Technology Officer at Guardian.

AI Force platform to drive Guardian modernization

HCLTech will deploy its AI Force platform to build agentic AI capabilities alongside Guardian, jointly developing insurance-sector solutions and intellectual property, with the GIFT City Global Technology Centre launched on the same day providing a dedicated hub for AI-driven delivery to global financial services clients.

Together, the HCLTech–Guardian SBU and GIFT City hub position HCLTech as a vertically integrated AI provider for insurance and financial services clients seeking dedicated offshore delivery at scale — a positioning built on the GCC acquisition model rather than managed service contract expansion.

As global insurers accelerate AI adoption to modernize legacy policy administration, India’s IT services sector is increasingly positioned as the primary offshore delivery engine for that transformation — with HCLTech’s dual announcement reflecting a growing preference among large clients for long-term integrated outsourcing partnerships over project-by-project vendor relationships.

For the BPO and IT outsourcing industry, GCC workforce absorption deals of this kind signal the continued maturation of insurer-to-outsourcer transition as a route to deep vertical specialization — with BPO operators and investors tracking the deal as a template for AI-led offshore specialization in regulated financial sectors.
