Health Catalyst sells VitalWare for $147Mn

UTAH, UNITED STATES — Health Catalyst has completed the $147 million cash sale of VitalWare to Med-Metrix, closing July 31, 2026. The proceeds retired the company’s entire credit facility, eliminating approximately $19 million in annual interest expense.
The divestiture positions Health Catalyst to concentrate entirely on healthcare intelligence, analytics, and artificial intelligence (AI).
VitalWare brings mid-revenue cycle tools to Med-Metrix
VitalWare provides a suite of mid-revenue cycle management (RCM) solutions for hospitals and health systems, including coding compliance, chargemaster management, charge capture, and price transparency.
The product generated approximately $37 million in fiscal year 2025 revenue and holds a best-in-KLAS rating for its market segment.
For Med-Metrix, a technology-enabled RCM company, acquiring VitalWare extends its software footprint across the core financial operations of a health system.
“We’re excited about where we are headed. To us, powerful analytics are essential, and our expertise is built on 18 years of what actually works,” said Ben Albert, Chief Executive Officer (CEO) at Health Catalyst.
Health Catalyst narrows focus to healthcare analytics
Health Catalyst’s post-divestiture strategy centers on 18 years of proprietary health system data tied to $2.8 billion in documented client outcomes across more than 380 improvement case studies.
The company intends to pair that outcomes dataset with a prescriptive analytics layer that tells health system leaders where to act, in what order, and with what measured impact.
Albert added, “What comes next is the part that we believe matters most: pairing that with knowing where to act, in what order, and with what impact, and the support to help make change stick. That’s the problem we’re working to solve, and we believe we are well-positioned to solve it.”
The divestiture reflects the growing separation in healthcare information technology (IT) between analytics intelligence platforms and execution-layer operations companies.
Med-Metrix gains software depth for hospital systems seeking to consolidate their revenue cycle operations under a single technology-enabled partner.
For the broader business process outsourcing (BPO) sector, the transaction signals the rising premium placed on outcomes-rich analytics platforms that can direct where outsourced health system functions should focus first.
