Humanforce bids to acquire LiveHire in HR tech merger

NEW SOUTH WALES, AUSTRALIA — Humanforce Holdings has launched a binding takeover offer to acquire 100% of LiveHire, a publicly listed company on the Australian Securities Exchange since 2016. 

The acquisition aims to combine Humanforce’s established human capital management solutions with LiveHire’s talent acquisition capabilities, potentially creating a comprehensive HR technology suite.

Acquisition details and financial implications

Humanforce Holdings, which already holds a 19.99% stake in LiveHire, is offering AUD 0.045 (USD 0.030) cash per share, representing an 87.5% premium over LiveHire’s closing share price of AUD 0.024 (USD 0.016) on August 13. 

The takeover bid aims to reach 90% ownership for compulsory acquisition.

“Humanforce and LiveHire will continue to operate ‘business as usual’.  If/when the acquisition is complete, it will unlock new and exciting opportunities for our clients,” LiveHire said in a statement.

“In addition to enjoying the benefits of LiveHire, customers will gain access to the entire Humanforce suite – offering an unparalleled combination of tools and data, enabling intelligent data-driven decision making, from employee engagement, culture, wellbeing, and performance, to risk and compliance.”

LiveHire has assured its clients that there will be minimal disruption to their services during the acquisition process. 

The company stated, “We don’t expect any changes to the client experience with us. The Humanforce and LiveHire technologies are extremely complementary, and if/when the acquisition completes, we simply will have more financial backing and private investment to continue innovating for all of our clients.

Humanforce, founded in Australia 22 years ago, has built a strong presence in the HR technology market, serving over 2,000 clients across Australia, New Zealand, the UK, and North America. 

The company specializes in human capital management systems, offering solutions for payroll, compliance, and rostering.

LiveHire, on the other hand, established in 2011, focuses on talent acquisition technology, providing services such as Applicant Tracking Systems (ATS), recruit CRM, direct sourcing, and AI-powered talent pooling. 

Despite a recent 11% year-over-year revenue decline to AUD 3.5 million (USD 2.4 million) in the half-year ended December 31, 2023, the company has maintained its position in the market.
