Persistent to acquire Nagarro at €81 share

MUNICH, GERMANY — Persistent Systems offered to acquire Nagarro SE at approximately US$88 per share (€81.00), a premium of roughly 140% over the firm’s June 25 closing price on the Frankfurt Stock Exchange.

The offer acceptance period runs through September 17, 2026, with closing expected in Q4 2026 or Q1 2027. No total deal value was disclosed.

Nagarro board recommends acceptance of Persistent’s offer

Nagarro is a global artificial intelligence (AI)-native engineering and technology transformation company with approximately 18,700 employees across 39 countries.

Persistent Systems, which holds approximately 20% of Nagarro’s shares through a pre-announcement agreement, has set a minimum acceptance threshold that would give it majority control and intends to delist Nagarro from Frankfurt’s Prime Standard upon closing.

“The Management Board continues to expressly support the envisaged strategic partnership with Persistent to accelerate our business, generate growth momentum, and advance the transformation of Nagarro,” said Manas Human, co-founder and chief executive officer at Nagarro SE.

The submitted offer is in the best interest of our stakeholders and the offer price of EUR 81.00 per share represents an attractive premium for our shareholders, to whom we recommend acceptance,” Human added.

Persistent targets AI engineering scale through the deal

The Supervisory Board determined the offer to be financially adequate, a formal assessment required under German takeover law before board members can recommend that shareholders accept.

For Persistent Systems, Nagarro’s engineering capabilities across 39 countries and 18,700 engineers represent the kind of scaled global delivery infrastructure that would take years to build organically in the AI services market.

“After thorough review of the economic and strategic benefits, we believe this offer represents a great opportunity for Nagarro and its shareholders. As financially adequate, the offer reflects the value and potential of the Company,” said Christian Bacherl, chairperson of the Supervisory Board at Nagarro SE.

The acquisition reflects a broader consolidation trend in AI-driven engineering services, where technology companies are paying significant premiums to acquire established global delivery platforms rather than building capabilities through organic hiring.

The 140% premium over Nagarro’s pre-announcement price signals how aggressively acquirers are pricing AI-native engineering talent at scale, particularly where enterprise demand for technology transformation outpaces the supply of qualified engineers.
