Capgemini sells U.S. government unit to ITC Federal

PARIS, FRANCE — Capgemini has agreed to sell Capgemini Government Solutions, its subsidiary serving the United States federal government, to ITC Federal, a provider of information technology (IT) solutions and enterprise services to federal law enforcement, homeland security and defense agencies.
The transaction is expected to close in the coming weeks, subject to customary conditions. Financial terms were not disclosed.
Capgemini exits a small U.S. federal business
According to a company press release, Capgemini said the subsidiary represented 0.4% of the group’s global 2025 revenue and less than 2% of its U.S. revenue.
The Paris-based group said the agreement follows the divestment process it announced earlier this year.
WashingtonExec reported that ITC Federal will combine the unit’s platform and data modernization capabilities with its own national security delivery record in a new entity, ITC Digital Solutions.
“This acquisition is about mission first,” said Greg Fitzgerald, chief executive officer of ITC Federal.
ITC Federal adds platform and data depth
The deal adds expertise in Salesforce, ServiceNow, cloud and Databricks to ITC Federal’s digital and data modernization capabilities.
Capgemini Government Solutions’ federal customers are agencies ITC Federal already serves, so the combined organization expands its footprint at the Department of Homeland Security and the Department of Justice.
The deal also extends ITC Federal’s reach to new customers across the Department of War and civilian federal agencies.
“Bringing Capgemini Government Solutions into ITC strengthens our ability to deliver to our national security customers while giving us new depth in digital services, data analytics and enterprise platforms our federal partners rely on every day. ITC Digital Solutions lets us bring the full weight of both organizations to the missions that matter most,” Fitzgerald added.
The sale removes a business that Capgemini said accounted for less than 2% of its U.S. revenue and had already flagged for divestment, while giving ITC Federal new digital capabilities for agencies it already serves.
For the government outsourcing sector, the deal shows digital transformation skills on enterprise platforms being valued as a capability a buyer can acquire rather than build, particularly when the acquirer already serves the same agencies.
ITC Digital Solutions is now positioned to compete for platform and data modernization work across homeland security, justice and defense agencies, while Capgemini keeps its commercial footprint among the top BPO companies worldwide.
