LivePerson stockholders approve SoundHound deal

NEW YORK, UNITED STATES — LivePerson stockholders on September 2, 2026, voted to approve SoundHound AI’s acquisition, clearing the final hurdle for a deal that closed on September 4, 2026.
The transaction creates an omnichannel conversational artificial intelligence (AI) provider with 25 Fortune 100 clients, over 750 patents, and a projected $500 million revenue opportunity from the combined customer base.
SoundHound and LivePerson create omnichannel AI powerhouse
SoundHound AI retired all outstanding LivePerson debt at close and issued 37 million shares as consideration, creating a combined entity with a debt-free balance sheet. LivePerson stock ceased trading on Nasdaq after the September 4 close.
The combined business, operating under the Orchestrated Agent System (OASYS) platform, natively supports voice, web, mobile, short message service (SMS), and social channels, positioning it against established contact-center AI providers in the global enterprise market.

LivePerson messaging deepens SoundHound’s enterprise market reach
LivePerson powers nearly a billion messages monthly for enterprise clients including 25 Fortune 100 companies, a customer base that gives SoundHound AI immediate scale in the enterprise contact center and digital engagement market.
SoundHound’s voice agentic AI, combined with LivePerson’s digital messaging infrastructure and enterprise engagement platform, creates an omnichannel customer experience (CX) stack entering a market where NICE, Verint, and Genesys are established leaders.

The close marks a convergence of voice AI and digital messaging under one enterprise platform, giving SoundHound AI immediate access to 25 Fortune 100 clients and infrastructure handling nearly a billion messages monthly.
For business process outsourcing (BPO) and contact center operators, the combined SoundHound-LivePerson platform offers a single-vendor alternative to the fragmented voice and digital messaging tools most enterprise contact centers currently source from separate providers under separate contracts.
The deal sets a precedent for agentic AI consolidation in the customer service outsourcing market, where voice AI and enterprise digital messaging have historically required integration across distinct technology stacks.
Gartner projects enterprise agentic AI software spend reaching $985 billion by 2030, a figure that underscores the commercial opportunity the SoundHound-LivePerson combination is designed to capture.
