GEORGIA, UNITED STATES — NIIT Learning Systems has acquired Bluewater Learning, a learning and talent transformation firm based in Plano, Texas, for up to $17.6 million.
The price includes performance-based earnouts over the next five years. The deal adds Bluewater’s advisory, implementation and integration work on enterprise human capital management (HCM) platforms to NIIT Learning’s managed learning services business.
Five-year earnout
NIIT Learning announced the acquisition in a press release on Oct. 29. It bought 100% of Bluewater Learning, LLC through its wholly owned subsidiary NIIT (USA), Inc.
The consideration is subject to customary adjustments under the definitive agreements, the company said.
Founded in 2003, Bluewater has served more than 1,100 clients and completed more than 5,000 learning and talent projects.
It partners with learning and talent platforms including Cornerstone and Docebo. NIIT Learning works with both, as well as Workday, SuccessFactors, Sana Labs, Degreed, Litmos and Adobe Learning.
The combined business will have 210 certified HCM consulting and implementation professionals holding more than 1,000 certifications across multiple platforms.
“Their advisory, implementation, and integration expertise complements NIIT Learning’s global managed learning services capabilities and significantly expands our HCM technology solutions portfolio,” said Sapnesh Lalla, chief executive officer and executive director of NIIT Learning.
Betting on AI-driven talent work
NIIT Learning said the deal supports its growth strategy through expanded strategic advisory, deeper learning and talent technology expertise, and stronger operational and managed services capabilities.
The company, listed on the NSE and BSE, says its learning teams work across more than 40 countries.
“For twenty-three years, our clients have trusted us with some of their most important learning and talent work,” said Chris Bond, founder and chief executive officer of Bluewater Learning.
Bond said many of Bluewater’s client relationships go back well over a decade. He said NIIT Learning brings expanded capabilities and a strong track record of client delivery, giving the two companies “an unprecedented opportunity to drive greater impact together.”
What it means for buyers
For enterprises that outsource training, the deal pairs a managed services model for learning and development with specialist consulting on the HCM systems behind it.
