OCS to acquire Mitie in UK facilities management deal

LONDON, UNITED KINGDOM — OCS has agreed to acquire Mitie Group plc in a recommended cash deal that would create one of the United Kingdom’s largest facilities management companies.
According to a company press release, OCS generates US$4.2 billion (£3.3 billion) in annual revenue and employs more than 135,000 people, serving 8,000 customers across the U.K., Europe, Asia Pacific, and the Middle East.
Financial terms were not disclosed, and the transaction is subject to Mitie shareholder approval and regulatory clearances.
OCS to build British facilities management powerhouse
OCS’s portfolio spans engineering, energy management, security, cleaning, catering, and workplace support across thousands of commercial and public sector sites globally.
The acquisition adds Mitie’s brand, technical expertise, and client relationships to OCS’s platform, positioning the combined group to compete for complex government and defense contracts across the U.K.
“This is an important milestone for both organisations and an exciting opportunity to bring together two highly complementary businesses with a shared commitment to delivering the best outcomes for colleagues and customers. Subject to completion, we would build a British facilities management group that is better positioned to support the organisations that keep the country running,” said Rob Legge, CEO at OCS Group.
Mitie joins OCS’s global facilities management network
Mitie brings a recognized brand and track record across the U.K.’s critical infrastructure sectors, adding client relationships and talent that OCS describes as complementary.
As part of a combined group, Mitie would gain access to OCS’s international network spanning Europe, Asia Pacific, and the Middle East, along with expanded opportunities to invest in technology and services.

The deal reflects broader consolidation in facilities management, where scale increasingly determines the ability to win complex government and defense contracts that demand national service delivery.
OCS’s acquisition of Mitie underscores the growing role of business process outsourcing (BPO) in the U.K.’s public sector, where government agencies and critical infrastructure operators rely on private contractors for essential services.
For the outsourcing industry, the combination represents a significant concentration of services under a single operator capable of delivering at national scale.
