FLORIDA, UNITED STATES — The Office Gurus (TOG), the Contact Centers segment of Superior Group of Companies (SGC), has acquired Select VoiceCom (SVC), a Philippine outsourcing provider with delivery centers in Cebu City and Davao.
The purchase price is about $26.9 million in cash, plus a revenue-linked earn-out of up to about $6.4 million payable over two years. The deal establishes a direct operating presence for TOG in the Philippines.
Two Philippine sites join TOG
The Office Gurus announced the acquisition in a press release on Nov. 2. SGC disclosed the price the same day in a filing with the United States Securities and Exchange Commission (SEC), which shows the deal took effect on Oct. 28.
Under the agreement, TOG bought all shares of SVCPH, Inc., a Philippine corporation, and substantially all assets of EBUS, Inc., a Delaware corporation, according to the filing.
A portion of the cash was placed in escrow to cover potential indemnification claims and post-closing expenses. SGC funded the deal with borrowings under its syndicated credit facility led by PNC Bank.
The transfer of the SVCPH shares remains subject to customary post-closing requirements under Philippine law, the filing said.
Cross Keys Capital served as exclusive financial adviser to SGC and TOG. Hill Ward Henderson and Quisumbing Torres served as legal counsel.
Founders stay on for continuity
Select VoiceCom‘s founding leaders, Mark Shapiro and Trevor Michael, will remain involved to support continuity for clients and employees.
Its operations leadership will continue to oversee the Cebu City and Davao sites within TOG’s global operations structure.
“Select VoiceCom has built a terrific business over 18 years, with a talented team, strong client relationships and a people-first culture that aligns with our own,” said Dominic Leide, president of The Office Gurus.
TOG said the combined organization will use its Experience Process Outsourcing (EPO) approach and its GuruSuite iX technology ecosystem in areas including agent performance, quality assurance, training and analytics.
“Joining The Office Gurus allows us to build upon the culture, relationships and local leadership that made SVC successful, supported by TOG’s global reach, technology and resources,” said Mark Shapiro, co-founder of Select VoiceCom.
What it means for buyers
For clients of either company, Select VoiceCom’s business process outsourcing (BPO) work across verticals including healthcare, financial services, legal services and e-commerce now sits under a Nasdaq-listed parent.
Buyers can ask how the call center teams in Cebu City and Davao will fit TOG’s delivery model, and compare alternatives on OA’s list of the top 40 BPO companies in the Philippines.
