One Point One Solutions lifts tech unit stake to 62.75%

MUMBAI, INDIA — Indian customer experience and BPO company One Point One Solutions has raised its stake in subsidiary One Point One Technology Labs (OPO Tech Lab) to 62.75% from 60% by converting money the unit owed it into shares.
The company acquired 74,480 equity shares in a transaction valued at ₹25.82 crore ($3.1 million).
Debt swapped for equity
The consideration was non-cash, structured as the extinguishment of an outstanding liability the subsidiary owed to the parent, ScanX reported.
The shares were issued on a private placement basis at ₹3,467.10 each, including a premium of ₹3,457.10 over the face value of ₹10.
The company’s holding rose from 605,999 shares to 680,479 shares.
One Point One Solutions made the disclosure under Regulation 30 of India’s securities market disclosure rules, confirming its shareholding rose by 2.75 percentage points.
Strengthening control of its tech arm
The move strengthens the company’s control over its technology arm without an immediate cash outflow, ScanX said.
Converting inter-company debt into equity reduces the subsidiary’s debt burden while increasing the parent’s ownership, the report said.
One Point One Solutions develops ResolX, an agentic AI platform, according to ScanX.
The company recently reported fiscal 2026 revenue up 22% to ₹313.4 crore ($37.7 million), and its shareholders approved a ₹500 crore ($60 million) borrowing limit at its annual general meeting on Sept. 25, ScanX reported.
It also reported first-quarter fiscal 2027 revenue up 129% year on year to ₹158 crore ($19 million) and won a ₹39.32 crore ($4.7 million) work order from a power utility, according to ScanX.
The company did not say whether it plans to raise its stake further.
For buyers, the move signals that the company is tightening its grip on the technology unit behind its AI products, a common step as BPO providers fold agentic AI into their service lines.
