SIAV acquires IT Consult to boost document tech

RUBANO and URBINO, ITALY — SIAV, an Italian provider of Enterprise Content Management (ECM) and business process outsourcing (BPO) solutions, has completed its acquisition of IT Consult, an Italian software firm specializing in document management and digital process automation, the company announced.

Siav paid approximately US$3.7 million (€3.4 million) in total consideration through cash tranches and newly issued Siav shares, with an additional performance-based earn-out of up to US$1.1 million (€1 million).

SIAV broadens ECM offering with IT Consult software

Siav serves more than 4,000 clients with document management platforms, vertical applications, and outsourcing services including dematerialization and business-to-business invoicing, and operates across Italy, Switzerland, and Romania.

According to a report from The Globe and Mail, the deal brings IT Consult’s proprietary cloud-based document management and digital process software into Siav’s platform, expanding its capabilities for clients across higher-value managed document services.

“We are convinced that the possible commercial and industrial synergies resulting from the operation, combined with IT Consult’s financial profile – characterized by high margins and a significant share of recurring revenues – can generate significant value for clients, partners and shareholders of the Group,” said Nicola Voltan, Chief Executive Officer (CEO) at Siav.

IT Consult keeps CEO and eyes international expansion

Giovanni Marrè will continue as CEO of IT Consult following the acquisition, while Siav CEO Nicola Voltan becomes chairman of IT Consult’s board alongside a third director, Daniele Boggian.

Siav reported 2025 revenues of approximately US$38.9 million (€35.7 million), giving it a financial base from which to pursue further consolidation in the European document technology market.

“The agreement with Siav would represent an important opportunity for industrial and commercial growth for IT Consult. Integration with our leading player in the Enterprise Content Management market would allow us to further accelerate the development of our software solutions, expand our market presence – including internationally – and leverage the technological know-how built over the years by our people, for the benefit of our customers,” said Giovanni Marrè, CEO at IT Consult.

The deal expands Siav’s document management platform into new client segments and software verticals, while adding cloud-native capabilities through IT Consult’s proprietary tools for digital processes and business automation.

For the ECM and BPO sectors, the transaction reflects growing demand for integrated document management platforms that combine software development with outsourced operations, particularly as European enterprises digitize compliance, invoicing, and records workflows.

Siav’s acquisition of IT Consult reflects broader consolidation in Italian enterprise software, where high-margin, recurring-revenue businesses are becoming attractive targets for established document management platforms.
