Veritas Capital to acquire facilities giant BGIS

NEW YORK and ONTARIO, UNITED STATES — Veritas Capital has agreed to acquire BGIS, a provider of integrated facilities management (IFM) services managing more than 65,000 facilities across 620 million square feet globally, the companies announced in a press release.
BGIS, headquartered in Markham, Ontario, is currently owned by CCMP Capital Advisors and Alberta Investment Management Corporation (AIMCo), which have backed the company since 2019. Financial terms were not disclosed; the deal is expected to close in the fourth quarter of 2026.
Veritas to apply technology playbook across BGIS operations
Veritas Capital (veritascapital.com), a New York-based private equity firm investing in technology-intensive businesses across defense, government, and critical infrastructure, adds BGIS to its enterprise services portfolio.
BGIS serves public and private sector organizations that outsource complex real estate, engineering, and maintenance operations, generating recurring revenue that aligns with Veritas’s investment thesis. Citi acted as lead financial advisor to BGIS on the transaction.
“BGIS has spent decades building its reputation as a leading independent IFM provider through a focus on operational excellence, technical talent, and a culture of continuous innovation. We see strong parallels with prior Veritas investments where specialized human capital and proprietary technology create a durable competitive advantage,” said James Dimitri, Partner and Co-Head of Flagship Private Equity at Veritas Capital.
BGIS AI roadmap to accelerate under Veritas ownership
BGIS has operated as a leading IFM provider for more than three decades, managing facilities for government agencies, healthcare systems, and commercial real estate clients globally.
Under CCMP and AIMCo‘s partnership since 2019, BGIS expanded through strategic acquisitions and invested in its technology platform. Veritas plans to deploy its technology investment playbook to accelerate BGIS’s artificial intelligence (AI) roadmap and digital capabilities across its facilities management operations.
“Veritas shares our vision and brings additional resources and capital to accelerate growth, expand our capabilities, and further invest in AI-enabled solutions. Most importantly, this partnership strengthens our ability to support clients and Team Members while maintaining the highest quality standards that have defined BGIS,” said Gord Hicks, CEO of BGIS.
Integrated facilities management is a growing segment of the business process outsourcing (BPO) ecosystem, as organizations increasingly outsource complex real estate, engineering, and maintenance operations to specialized providers.
BGIS’s global scale, managing critical infrastructure across more than 65,000 sites, gives Veritas a rare platform in a sector where technology-enabled delivery is reshaping competitive dynamics.
The deal underscores growing private equity interest in facilities management as a durable, outsourcing-intensive vertical driven by long-term government and enterprise contracts.
